3. Our Services
3.1 Web Design and Development
All web design projects are subject to a separate written proposal and agreement. Work commences upon receipt of a signed proposal and agreed deposit. The client is responsible for providing all required content (text, images, branding) within agreed timescales. Delays caused by the client may affect project completion dates.
3.2 SEO Services
We do not guarantee specific search engine rankings. SEO results are influenced by many factors outside our control, including search engine algorithm changes and competitor activity. We provide monthly reporting and act in good faith to improve your organic visibility.
3.3 Paid Advertising Management
Ad spend is paid directly by the client to the relevant platform (Google, Microsoft, Amazon). Our management fees are separate and invoiced monthly. We are not responsible for platform policy changes, account suspensions initiated by the platform, or advertising budget overspend resulting from platform automation.
3.4 Technical Solutions
Technical IT services including server setup, PC management, and backup solutions are provided on a project or retainer basis. Specific terms will be agreed in writing prior to work commencing.
4. Payment Terms
- Invoices are due within 14 days of issue unless otherwise agreed in writing
- A deposit (typically 50%) is required before project work begins
- Late payments may incur interest at 8% above the Bank of England base rate (pursuant to the Late Payment of Commercial Debts Act 1998)
- We reserve the right to pause or suspend services for accounts with outstanding invoices
5. Intellectual Property
All website designs, code, and creative assets produced by Bytewise Solutions remain our intellectual property until full payment has been received, at which point ownership transfers to the client unless otherwise agreed.
You must not use our name, logo, or branding without prior written permission.
6. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the working relationship. This obligation continues for 2 years after the end of the engagement.
7. Limitation of Liability
To the maximum extent permitted by law, Bytewise Solutions LTD shall not be liable for:
- Any indirect, consequential, or incidental loss arising from use of our services
- Loss of data, revenue, or business opportunity
- Third-party platform failures or policy changes (Google, Microsoft, Amazon, etc.)
- Website downtime attributable to hosting providers or factors outside our control
Our total liability in any matter shall not exceed the total fees paid by the client in the preceding 3 months.
8. Termination
Either party may terminate an ongoing service agreement with 30 days written notice. Project-based work may not be terminated once commenced without payment for work completed to date. No refunds are given on deposits once project work has begun.
